The YSU Faculty of Law hosted Alexander Anatolyevich Kuznetsov, Professor and Doctor of Legal Sciences at HSE University in Russia, who delivered a lecture to students as part of the course Corporate Law, focusing in particular on corporate law and new professional approaches in the field.
The lecture was initiated by Arsen Tavadyan, Associate Professor at the YSU Chair of Civil Law and Candidate of Legal Sciences, who teaches the course Corporate Law.
In addition to legal issues related to the establishment, operation and dissolution of legal entities covered in the course, the speaker presented the subject matter of corporate law and the main approaches to it that have developed in legal scholarship. He also addressed a number of debated questions: whether decisions adopted by corporate bodies constitute transactions, whether a company's director is its legal representative, and what legal consequences arise when decisions are adopted in violation of the law or shareholders' resolutions.
The lecture also compared approaches to corporate law in Armenia, Russia and the United States. The speaker discussed how Armenian and Russian legislation, despite sharing common foundations, subsequently developed in different directions.
At the end of the lecture, students asked Professor Kuznetsov questions and discussed the issues presented with him. The meeting gave them an opportunity to become familiar with contemporary theoretical and practical approaches to corporate law, as well as the particularities of their application in different countries.
